1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("you," "your," or "User") and Synlets ("we," "us," "our," or "Company") governing your access to and use of the Synlets platform, website, and services at synlets.com (collectively, the "Service").

By accessing or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Service.

If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms, and "you" refers to both you individually and that organization.

2. Eligibility

To use the Service, you must:

  • Be at least 18 years of age
  • Have the legal capacity to enter into a binding agreement
  • Not be prohibited from using the Service under applicable laws
  • Provide accurate and complete registration information

The Service is intended for business use. By using the Service, you represent that you are using it for business or professional purposes.

3. Account Registration

3.1 Account Creation

To access the Service, you must create an account by providing accurate, current, and complete information. You are responsible for maintaining the accuracy of this information.

3.2 Account Security

You are responsible for:

  • Maintaining the confidentiality of your account credentials
  • All activities that occur under your account
  • Notifying us immediately of any unauthorized access or security breach

We are not liable for any loss or damage arising from your failure to protect your account credentials.

3.3 One Account Per Organization

Each user account is associated with a single organization. You may not create multiple organizations or share account credentials with others.

4. Description of Service

4.1 Service Overview

Synlets provides autonomous AI software development agents that:

  • Pick up and implement work items from connected project management tools (e.g., Jira, Asana, Notion)
  • Read and analyze code from connected repositories (e.g., GitHub, GitLab)
  • Create pull requests and merge requests
  • Respond to code review feedback
  • Perform automated code reviews

4.2 AI-Generated Output

The Service uses artificial intelligence to generate code, pull requests, and other outputs ("AI Output"). You acknowledge that:

  • AI Output may contain errors, bugs, or security vulnerabilities
  • AI Output requires human review before deployment to production
  • You are solely responsible for reviewing, testing, and validating all AI Output
  • We do not guarantee the accuracy, completeness, or fitness of AI Output for any purpose

4.3 Third-Party Integrations

The Service integrates with third-party platforms including GitHub, GitLab, Jira, Asana, Notion, Confluence, and others. Your use of these integrations is subject to the respective terms and policies of those platforms. We are not responsible for the availability, functionality, or actions of third-party platforms.

4.4 Processing Limitations

The Service operates through asynchronous task queues and distributed systems. You acknowledge and accept that:

  • Task processing is not instantaneous and may be subject to delays
  • Tasks may fail to process, be processed partially, or not be picked up due to system issues, queue failures, or technical errors
  • Work in progress may be lost if processing is interrupted
  • The same task may occasionally be processed multiple times
  • We do not guarantee that any specific task will be completed successfully
  • Processing order is not guaranteed; tasks may be executed out of order

It is your responsibility to verify that tasks have been completed successfully and that AI Output meets your requirements before relying on it.

4.5 Service Modifications

We continuously improve the Service and may add, modify, or discontinue features at any time. We will use reasonable efforts to provide advance notice of significant changes that materially reduce functionality you actively use. However, we are not liable for any modifications to the Service, and such changes do not entitle you to any refund or compensation.

5. Subscription and Payments

5.1 Subscription Plans

The Service is offered through subscription plans with different features and credit allocations. Current pricing and plan details are available on our website.

Fair Use: Features described as "unlimited" (such as unlimited repositories) are subject to fair use. We reserve the right to impose reasonable limits on accounts that significantly exceed typical usage patterns or that negatively impact the Service for other users. We will attempt to contact you before imposing any limits.

5.2 Credits (ACU)

The Service operates on a credit system (AI Credit Units or "ACU"):

  • Credits are consumed when AI agents perform work
  • Credit usage varies based on task complexity and AI model used
  • Unused credits from your subscription allocation roll over month-to-month
  • Free credits provided at signup are a one-time allocation (not recurring) and do not expire
  • Purchased credits do not expire while your account remains active
  • Credits are non-transferable between accounts or organizations

Credit Deductions: Credit usage is calculated automatically based on AI processing costs. We reserve the right to adjust credit pricing with 30 days' notice. Credits you have already purchased will be honored at their original value—pricing changes apply only to future credit purchases and subscription renewals, not to credits already in your account. Disputes regarding credit deductions must be reported within 14 days of the transaction.

Credit Depletion: If your credit balance is insufficient to complete a requested task, AI agents may pause, limit their scope, or not initiate new work until additional credits are available. We are not liable for any interruption, incomplete work, or delay caused by insufficient credits. It is your responsibility to maintain adequate credits for your usage needs.

Failed or Incomplete Tasks: Credits consumed during task processing are non-refundable, even if the task fails to complete, produces unsatisfactory results, is interrupted due to system issues, or encounters processing errors. You are responsible for monitoring task status and verifying successful completion.

Goodwill Credits: In cases of verified systemic failures affecting multiple customers, we may, at our sole discretion, issue goodwill credits to affected accounts. This is not an obligation, and the decision to issue goodwill credits, as well as the amount, is entirely at our discretion. Goodwill credits do not constitute an admission of liability or create any entitlement to future credits.

5.3 Payment Terms

  • Subscriptions are billed in advance on a monthly or annual basis
  • Annual subscriptions are billed as a single payment with applicable discount
  • All fees are quoted and payable in USD unless otherwise specified
  • You authorize us to charge your designated payment method for all fees due

5.4 Auto-Renewal

Subscriptions automatically renew at the end of each billing period (monthly or annually) unless cancelled before the renewal date. You will be charged the then-current subscription fee upon renewal. We will notify you of any price changes at least 30 days before your renewal date, giving you the opportunity to cancel before the new pricing takes effect.

5.5 Cancellation

You may cancel your subscription at any time through your account settings or by contacting support@synlets.com. Upon cancellation:

  • Your subscription remains active until the end of the current billing period
  • You retain access to the Service until the billing period ends
  • No partial refunds are provided for unused time in the billing period
  • Your credits remain available until the end of the billing period

5.6 Refund Policy

All fees are non-refundable. This includes subscription fees (monthly or annual), credit purchases, and any other charges.

We do not provide refunds or credits for:

  • Partial subscription periods
  • Unused credits
  • Credit top-up purchases
  • Downgrade to a lower-tier plan
  • Service dissatisfaction

In exceptional circumstances, refunds may be considered at our sole discretion on a case-by-case basis. Contact support@synlets.com for inquiries.

Billing Errors: If you believe you have been charged in error, contact us within 30 days of the charge. We will investigate in good faith and correct verified billing errors by issuing credit to your account or, at our discretion, processing a refund. This does not apply to disputes about credit consumption, service quality, or task outcomes.

5.7 Failed Payments

If a payment fails, we may:

  • Retry the payment method on file
  • Suspend access to the Service until payment is received
  • Downgrade your account to a free tier
  • Terminate your account after 30 days of non-payment

5.8 Taxes

All fees are exclusive of taxes. You are responsible for paying all applicable taxes, duties, and government charges. If we are required to collect taxes, they will be added to your invoice.

6. Acceptable Use Policy

6.1 Permitted Use

You may use the Service only for lawful purposes and in accordance with these Terms. You agree to use the Service only for:

  • Software development and related professional activities
  • Managing and automating your own development workflows
  • Code review and quality improvement

6.2 Prohibited Conduct

You agree NOT to:

Harmful Activities:

  • Use the Service to develop malware, viruses, or malicious code
  • Attempt to gain unauthorized access to any systems or networks
  • Interfere with or disrupt the Service or servers
  • Conduct security attacks, penetration testing, or vulnerability scanning against the Service without prior written permission

Misuse of Service:

  • Use the Service to generate content that infringes intellectual property rights
  • Resell, sublicense, or provide the Service to third parties without authorization
  • Use the Service in a way that violates any applicable laws or regulations
  • Circumvent any access controls, usage limits, or technical restrictions

Abusive Behavior:

  • Harass, abuse, or harm Synlets staff or other users
  • Submit false or misleading information
  • Impersonate any person or entity
  • Engage in systematic reverse engineering, automated scraping, or AI model extraction against the Service

Content Restrictions:

  • Upload or process content that is illegal, harmful, or violates third-party rights
  • Use the Service to generate illegal content, hate speech, or discriminatory material
  • Process personal data without proper legal basis or consent

6.3 Enforcement

We reserve the right to investigate and take appropriate action against anyone who violates this Acceptable Use Policy, including:

  • Issuing warnings
  • Suspending or terminating accounts
  • Removing content
  • Reporting violations to law enforcement

7. Intellectual Property

7.1 Our Intellectual Property

The Service, including its original content, features, functionality, software, and branding, is owned by Synlets and protected by intellectual property laws. You may not copy, modify, distribute, sell, or lease any part of the Service without our prior written consent.

7.2 Your Content

You retain ownership of all content you upload to or create using the Service ("Your Content"), including:

  • Source code from your repositories
  • Project documentation
  • Configuration and settings

By using the Service, you grant us a limited, non-exclusive, worldwide, royalty-free license to access, process, and store Your Content solely to provide the Service to you.

7.3 AI Output Ownership

Subject to the rights of any third parties, you own the AI Output generated by the Service at your direction, including:

  • Code generated by AI agents
  • Pull requests and merge requests
  • Code review comments

However, you acknowledge that similar AI Output may be generated for other users, and ownership does not extend to underlying AI models, algorithms, or general concepts.

7.4 Feedback

If you provide feedback, suggestions, or ideas about the Service ("Feedback"), you grant us a perpetual, irrevocable, worldwide, royalty-free license to use, modify, and incorporate such Feedback into the Service without any obligation to you.

7.5 Publicity Rights

By using the Service, you grant Synlets a non-exclusive, royalty-free right to use your company name, logo, and trademarks on our website, marketing materials, and customer lists to identify you as a Synlets customer. This may include displaying your logo in "trusted by" or "our customers" sections of our website.

You may opt out of this publicity right at any time by sending written notice to support@synlets.com. Upon receipt of your opt-out request, we will remove your name and logo from our marketing materials within 30 days, though we are not required to recall or modify materials already in print.

This right does not permit us to publish detailed case studies, testimonials, or quotes attributed to you without your separate written consent.

8. Data and Privacy

8.1 Privacy Policy

Your use of the Service is subject to our Privacy Policy, which is incorporated into these Terms by reference. By using the Service, you consent to the collection and use of information as described in the Privacy Policy.

8.2 Your Responsibilities

You are responsible for:

  • Ensuring you have the right to upload and process all content through the Service
  • Obtaining necessary consents for any personal data included in your repositories or content
  • Complying with applicable data protection laws
  • Maintaining appropriate backups of your data

8.3 Data Processing

By using the Service, you acknowledge that your code and content will be:

  • Transmitted to and processed by AI service providers
  • Stored on cloud infrastructure
  • Accessed by the Service to perform requested functions

8.4 Subprocessors

We use the following third-party service providers ("Subprocessors") to deliver the Service:

An up-to-date list is also maintained at synlets.com/legal/subprocessors. We will notify users via email at least 14 days before engaging any new Subprocessor that processes customer data.

8.5 No Training on Your Code

We do not use your proprietary code to train AI models. Your code is processed only to provide the Service.

8.6 Aggregated and Anonymous Data

We may collect and use aggregated, anonymized data derived from your use of the Service for purposes including analytics, benchmarking, improving the Service, and generating industry insights. This data will not identify you or your organization and is not subject to the restrictions in our Privacy Policy regarding personal data. For clarity, this does not permit us to use your proprietary code to train AI models (see Section 8.5).

8.7 Data Breach Notification

In the event of a data breach affecting your data, we will:

  • Notify you within 72 hours of becoming aware of the breach
  • Provide details of the nature of the breach and the categories of data affected
  • Describe the measures taken or proposed to address the breach
  • Provide contact information for further inquiries

This notification timeline aligns with the Australian Privacy Act's Notifiable Data Breaches scheme and GDPR requirements. We may delay notification if law enforcement advises that notification would impede a criminal investigation, in which case we will notify you as soon as permitted.

9. Service Availability

9.1 Availability Target

We target high availability for the Service and use reasonable efforts to maintain consistent uptime. However, we do not guarantee any specific uptime percentage except as separately agreed in writing for Enterprise customers.

The Service may be unavailable due to:

  • Scheduled maintenance (with reasonable advance notice where practicable)
  • Emergency maintenance required for security or stability
  • Factors outside our reasonable control (see Force Majeure)
  • Third-party service outages (GitHub, GitLab, Jira, Asana, Notion, AI providers, cloud infrastructure)

9.2 Enterprise SLA

Enterprise customers may negotiate a Service Level Agreement with specific uptime commitments and service credits. Contact support@synlets.com for Enterprise SLA terms.

9.3 No Service Credits for Standard Plans

Service credits are not available for Free, Starter, Team, Growth, or Business plans. We will use reasonable efforts to restore service promptly during any outage.

9.4 Status Updates

During significant outages, we will use reasonable efforts to provide status updates via our website or email to affected customers.

9.5 Sole Remedy

Your sole remedy for any service unavailability is to cancel your subscription in accordance with Section 5.5. Service unavailability does not entitle you to any refund, credit, or other compensation except as specifically provided in an Enterprise SLA.

9.6 Our Commitment

While we cannot guarantee uninterrupted service or successful completion of every task, we are committed to:

  • Investigating reported issues in good faith
  • Providing reasonable assistance through our support channels
  • Working to resolve systematic problems that affect multiple customers
  • Maintaining transparent communication about known issues

This commitment does not create any warranty, guarantee, or additional liability beyond what is expressly stated in these Terms.

10. Warranty Disclaimer

10.1 "As Is" Service

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.

To the maximum extent permitted by law, we disclaim all warranties, including but not limited to:

  • Merchantability
  • Fitness for a particular purpose
  • Non-infringement
  • Accuracy or reliability of AI Output
  • Uninterrupted or error-free operation
  • Security or freedom from viruses
  • Reliable, timely, or successful processing of tasks
  • Completion of any specific task, work item, or request
  • Preservation of work in progress during system interruptions
  • Delivery or receipt of messages, webhooks, or notifications

10.2 AI Output Disclaimer

YOU ACKNOWLEDGE AND AGREE THAT:

  • AI-generated code may contain errors, bugs, or security vulnerabilities
  • AI Output should not be deployed to production without human review
  • We do not guarantee that AI Output will meet your requirements
  • We are not responsible for any consequences of using AI Output

10.3 Third-Party Services

We make no warranties regarding third-party services, including:

  • AI service providers (availability, accuracy, data handling)
  • Cloud infrastructure providers
  • Connected platforms (GitHub, GitLab, Jira, Asana, Notion, Confluence)
  • Payment processors

10.4 No Professional Advice

The Service does not provide legal, financial, security, or professional advice. You should consult qualified professionals for such matters.

10.5 Marketing and Promotional Materials

All marketing materials, promotional content, website copy, demonstrations, and sales communications are provided for general informational and illustrative purposes only. Such materials may contain forward-looking statements, aspirational descriptions, simplified examples, or promotional language that does not constitute a warranty, guarantee, or contractual commitment.

You acknowledge that:

  • Marketing materials may describe features or capabilities in simplified or idealized terms
  • Product demonstrations may not reflect typical results or all use cases
  • Testimonials and case studies represent individual experiences and are not guaranteed outcomes
  • Statements about productivity, speed, or efficiency are general estimates, not guarantees

The Terms of Service and Privacy Policy are the sole binding agreements governing your use of the Service. No marketing material, sales representation, or promotional content creates any warranty or obligation beyond what is expressly stated in these Terms.

10.6 Regulatory Compliance Disclaimer

The Service is not designed or intended for use in industries or applications requiring specific regulatory compliance, including but not limited to healthcare (HIPAA), financial services (SOX, PCI-DSS), government (FedRAMP, ITAR), or other regulated industries.

You are solely responsible for determining whether your use of the Service complies with applicable laws, regulations, and industry standards. We make no representations regarding the suitability of the Service for regulated use cases and disclaim all liability arising from your use of the Service in violation of applicable regulations.

11. Limitation of Liability

11.1 Exclusion of Damages

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SYNLETS SHALL NOT BE LIABLE FOR ANY:

  • Indirect, incidental, special, consequential, or punitive damages
  • Loss of profits, revenue, data, or business opportunities
  • Cost of substitute services
  • Damages arising from unauthorized access to or alteration of your data
  • Damages resulting from AI Output, including bugs, vulnerabilities, or errors in generated code
  • Damages arising from failed, delayed, incomplete, or duplicate task processing
  • Damages arising from lost messages, queue failures, or system interruptions
  • Damages arising from work in progress that was not saved or committed

This applies regardless of the theory of liability (contract, tort, negligence, strict liability, or otherwise) and even if we have been advised of the possibility of such damages.

11.2 Liability Cap

OUR TOTAL CUMULATIVE LIABILITY FOR ALL CLAIMS ARISING FROM OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED:

  • For free plan users: One hundred Australian dollars (AUD $100)
  • For paid plan users: The fees you actually paid to us in the 12 months preceding the claim

11.3 Third-Party Actions

We are not liable for any acts or omissions of third parties, including:

  • AI service providers
  • Cloud infrastructure providers
  • Connected platforms (GitHub, GitLab, Jira, Asana, Notion, Confluence)
  • Payment processors
  • Internet service providers

11.4 Essential Purpose

The limitations in this section apply even if any limited remedy fails of its essential purpose.

11.5 Jurisdictional Limitations

Some jurisdictions do not allow the exclusion of certain warranties or limitation of liability. In such jurisdictions, our liability is limited to the maximum extent permitted by law.

11.6 Australian Consumer Law

If Australian Consumer Law applies to your use of the Service, nothing in these Terms excludes, restricts, or modifies any consumer guarantee, right, or remedy conferred by the Australian Consumer Law that cannot be excluded, restricted, or modified by agreement. To the extent permitted, our liability for breach of any such consumer guarantee is limited to re-supplying the Service or paying the cost of having the Service re-supplied.

12. Indemnification

12.1 Your Indemnification

You agree to indemnify, defend, and hold harmless Synlets and its officers, directors, employees, agents, and affiliates from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising from:

  • Your use of the Service
  • Your violation of these Terms
  • Your violation of any third-party rights
  • Your Content or any data you upload to the Service
  • Any claim that your use of the Service caused damage to a third party
  • Your use of AI Output in production systems

12.2 Our Indemnification

We will defend, indemnify, and hold you harmless from third-party claims alleging that the Service itself (excluding AI Output) infringes that third party's intellectual property rights, provided that:

  • You promptly notify us of the claim
  • You allow us sole control of the defense and settlement
  • You provide reasonable cooperation

Exclusions: We have no obligation for claims arising from:

  • Your modification of the Service or combination with non-Synlets products
  • Your continued use after being notified of alleged infringement
  • AI Output (which is covered by the disclaimers in Section 10)
  • Use outside the scope of these Terms

Sole Remedy: If the Service is held to infringe, we may at our option: (a) obtain the right to continue providing the Service, (b) modify the Service to be non-infringing, or (c) terminate your access and provide a pro-rata refund of prepaid fees.

12.3 Indemnification Process

We will:

  • Promptly notify you of any claim subject to indemnification
  • Allow you to control the defense and settlement (with our reasonable cooperation)
  • Not settle any claim without your consent if it would impose obligations on you

You may not settle any claim in a manner that admits liability on our part or imposes obligations on us without our prior written consent.

13. Account Termination

13.1 Termination by You

You may cancel your subscription at any time. Your access continues until the end of the current billing period. To request deletion of your account and data, contact support@synlets.com (see Privacy Policy for details).

13.2 Suspension

We may suspend your access to the Service immediately, without prior notice, if:

  • We reasonably believe you have breached these Terms or the Acceptable Use Policy
  • Your account poses a security risk to us or other users
  • Required to comply with law or protect our rights, safety, or property
  • Your payment method fails

During suspension, we will use reasonable efforts to notify you of the reason and any steps required to restore access. Suspension does not automatically terminate your subscription or billing unless followed by termination. You remain responsible for any fees accrued during suspension.

13.3 Termination by Us

We may terminate your account:

  • Immediately, without prior notice, if you engage in fraudulent or illegal activity, or if suspension is not sufficient to address the breach
  • After 30 days of unresolved payment failure
  • For any reason with 30 days' written notice

Our Commitment: We do not terminate active, paying accounts in good standing arbitrarily. Termination "for any reason" is reserved for situations such as business discontinuation, legal requirements, or security concerns—not as a tool to remove customers without cause.

13.4 Effect of Termination

Upon termination:

  • Your right to use the Service ceases immediately
  • All unused credits are forfeited and non-refundable
  • You may request an export of your data within 30 days of termination
  • We will delete your data within 90 days after the export window, unless legally required to retain it
  • Any outstanding fees remain due and payable
  • Provisions that by their nature should survive termination will survive (including Sections 7, 10, 11, 12, 15, 16, and 17)

13.5 Refunds on Termination

Pro-rata calculation: Refund = (Prepaid Annual Fee) × (Remaining Full Months / 12). Monthly subscriptions and consumed credits are not refundable. Partial months are not included.

14. Dispute Resolution

14.1 Informal Resolution First

Before initiating any legal action, you agree to contact us at support@synlets.com to attempt to resolve the dispute informally. Both parties agree to negotiate in good faith for a period of 60 days from the date of the initial dispute notice before either party may commence legal proceedings.

The dispute notice must include:

  • A description of the dispute
  • The relief sought
  • Your contact information

We will acknowledge receipt within 5 business days and work with you to resolve the matter.

14.2 Governing Law

These Terms shall be governed by and construed in accordance with the laws of Australia, without regard to conflict of law principles.

14.3 Jurisdiction

If the dispute cannot be resolved informally within the 60-day period, any legal action arising from these Terms shall be brought exclusively in the courts located in Sydney, Australia. You consent to the personal jurisdiction of such courts and waive any objection to venue.

14.4 Injunctive Relief

Notwithstanding the above, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to protect its intellectual property rights or confidential information without first engaging in the informal resolution process.

14.5 Enterprise Customers

Enterprise customers may negotiate alternative dispute resolution terms as part of a separate Enterprise Agreement. Contact support@synlets.com for Enterprise terms.

15. Beta Features

15.1 Beta Services

From time to time, we may offer beta, preview, or early access features ("Beta Features"). Beta Features are:

  • Provided "as is" without warranty of any kind
  • Subject to change or discontinuation without notice
  • Not covered by the Service Level Agreement
  • May contain bugs, errors, or security vulnerabilities

15.2 Beta Feedback

By using Beta Features, you agree to provide feedback and allow us to use such feedback to improve the Service.

15.3 No Liability for Beta

We shall have no liability for any harm or damage arising from your use of Beta Features, including data loss, system failures, or security incidents.

16. General Provisions

16.1 Force Majeure

Neither party shall be liable for any failure or delay in performing obligations under these Terms where such failure or delay results from circumstances beyond reasonable control, including but not limited to: natural disasters, acts of government, war, terrorism, riots, internet or telecommunications failures, cyberattacks, pandemics, labor disputes, or third-party service provider outages.

16.2 Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable.

16.3 Entire Agreement

These Terms, together with the Privacy Policy and any other policies referenced herein, constitute the entire agreement between you and Synlets regarding the Service and supersede all prior agreements, understandings, representations, and marketing communications, whether written or oral.

16.4 Waiver

Our failure to enforce any right or provision of these Terms shall not be deemed a waiver of such right or provision. Any waiver must be in writing and signed by us.

16.5 Assignment

You may not assign or transfer these Terms or your rights hereunder without our prior written consent. We may assign these Terms without restriction. Subject to the foregoing, these Terms bind and inure to the benefit of the parties and their successors and assigns.

16.6 Notices
